These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and MeshGuard ("Company," "we," "us," or "our"), governing your access to and use of the MeshGuard platform, APIs, documentation, and related services (collectively, the "Service") available at meshguard.app.
By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
MeshGuard is an AI agent governance platform that provides tools for monitoring, managing, and enforcing policies across autonomous AI agents. The Service includes, but is not limited to:
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials, including all API keys and access tokens issued to you.
You agree to: (a) immediately notify us of any unauthorized use of your account or API keys; (b) not share account credentials or API keys with unauthorized parties; and (c) accept responsibility for all activity that occurs under your account.
Access to the MeshGuard API is subject to rate limits and usage quotas as defined by your subscription plan. You agree not to:
We reserve the right to throttle, suspend, or terminate API access if we reasonably believe usage violates these Terms or threatens the integrity of the Service.
"Agent Data" refers to any data you submit, transmit, or make available through the Service relating to your AI agents, including agent configurations, behavioral policies, execution logs, and metadata.
You retain all ownership rights in your Agent Data. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your Agent Data solely as necessary to provide and improve the Service.
You are solely responsible for: (a) the behavior and actions of AI agents you register with the Service; (b) ensuring your agents comply with applicable laws, regulations, and your own governance policies; and (c) any consequences arising from the operation of your AI agents, whether or not governed through MeshGuard.
The Service generates and retains audit logs of agent activity, policy enforcement events, and administrative actions. Audit log retention periods vary by subscription plan.
Upon termination of your account, we will retain your data (including audit logs) for a period of thirty (30) days, after which it will be permanently deleted unless a longer retention period is required by law or you have requested an export.
The Service is offered under various subscription plans as described on our pricing page. All fees are quoted in U.S. dollars unless otherwise specified and are non-refundable except as expressly stated herein.
Subscriptions automatically renew at the end of each billing period unless you cancel prior to renewal. We may change pricing with at least thirty (30) days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
The Service, including all software, documentation, designs, trademarks, and underlying technology, is and remains the exclusive property of MeshGuard and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
You agree not to use the Service to:
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. We are not liable for any downtime, data loss, or service degradation arising from circumstances beyond our reasonable control.
Support is provided in accordance with the terms of your subscription plan. Enterprise customers may be eligible for dedicated support and service level agreements (SLAs).
Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Service, including business plans, technical data, and customer information. This obligation does not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MESHGUARD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless MeshGuard, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) the operation or behavior of your AI agents; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
Either party may terminate these Terms at any time by providing written notice. We may suspend or terminate your access immediately if we believe you have violated these Terms or if required by law.
Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including but not limited to Sections 5, 8, 11, 12, 13, and 16) shall survive.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service with at least thirty (30) days' notice. Your continued use of the Service after the effective date of any modifications constitutes acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.
These Terms constitute the entire agreement between you and MeshGuard regarding the Service and supersede all prior agreements. If any provision is found unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
